These Terms of Service ("Terms") govern access to and use of PostNow's website, Excel add-in, desktop application, and related services (the "Services"), provided by FSN Solutions ("PostNow," "we," "us"). By using the Services, you agree to these Terms. If you are agreeing on behalf of an organization, you confirm you are authorized to bind it ("you"). If you have a separate signed agreement with us, that agreement controls where it conflicts with these Terms.
1. The Services
PostNow provides software to load, validate, post, and report on SAP data from Excel, including AI-assisted features. We may update or improve the Services over time.
2. Accounts
You are responsible for your account, your users, and keeping credentials secure. You must provide accurate information and keep it current. You are responsible for activity under your account.
3. Your data and your SAP systems
You retain all rights to the data you process with the Services ("Customer Data") and to your SAP systems. You grant us a limited right to process Customer Data solely to provide the Services, as described in our Privacy Policy. You are responsible for having the authority to connect PostNow to your SAP systems, for your configurations and mappings, for the postings you choose to run, and for complying with your own SAP licensing and internal policies.
You are solely responsible for reviewing, validating, approving, and authorizing any data, mappings, transformations, postings, updates, or transactions before they are executed in your SAP environment.
PostNow acts only as a software tool that executes instructions provided by you or your authorized users. You are solely responsible for the accuracy, completeness, validity, and business appropriateness of the data processed through the Services.
FSN Solutions is not responsible for any posting, transaction, update, configuration change, master data change, financial impact, operational impact, reporting impact, downstream system impact, business decision, or other consequence resulting from the use of the Services or from data processed, posted, modified, or transmitted through your SAP systems.
4. Acceptable use
You agree not to misuse or interfere with the Services, access them other than through permitted interfaces, reverse engineer or copy the software except as allowed by law, resell or provide the Services to third parties without authorization, upload malicious code, or use the Services to violate any law or third-party rights.
5. AI features
Some features generate suggestions, such as proposed field mappings, using AI. These suggestions are aids, not guarantees. You are responsible for reviewing and approving any data before it is posted to SAP, and for the results of postings you authorize.
6. Fees
Paid Services are billed as set out in your order or plan. Fees are non-refundable. We may change pricing for future terms with reasonable notice.
7. Intellectual property
The Services, software, and all related intellectual property are owned by FSN Solutions. We grant you a non-exclusive, non-transferable right to use the Services during your subscription, subject to these Terms. Any feedback you provide may be used by us without restriction.
8. Warranties
We provide the Services with reasonable skill and care. The Services are provided "as is," and we do not guarantee that they will be uninterrupted or error-free, or that any estimate, projection, or AI suggestion will be accurate.
8A. Limitation of Liability
To the maximum extent permitted by law, FSN Solutions and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, or data, arising out of or related to the Services.
Our total liability arising out of or related to the Services will not exceed the amount paid by you to FSN Solutions for the Services during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
9. Termination
These Terms apply while you use the Services. You may stop using the Services at any time; if you cancel a paid subscription, fees already paid are non-refundable and no refund will be provided for any remaining time in your term. We may suspend or terminate access if you breach these Terms. On termination, your right to use the Services ends, and we will make Customer Data available for export for a limited period before deletion.
10. Changes to these Terms
We may update these Terms as the Services evolve. We will post the updated version with a new date. Continued use after changes take effect means you accept them.
11. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.
